TERMS OF SERVICE
Effective Date: August 21, 2025
Last Updated: September 05, 2026
These Terms of Service (“Terms”) govern your access to and use of brianrayl.com (the “Website”), including all online educational content, digital materials, and Continuing Legal Education (“CLE”) courses offered by Brian Rayl, LLC (“Company,” “we,” “us,” or “our”).
By accessing this Website, you agree to be bound by these Terms. If you do not agree, do not use this Website or our services.
1. SCOPE & SEPARATE CONSULTING AGREEMENTS
These Terms apply solely to your general use of this Website and our online educational/CLE offerings.
These Terms do not govern private legal nurse consulting, medical record review, or expert witness engagements. All professional consulting services, case evaluations, and expert retention are governed exclusively by separate, written client engagement and confidentiality agreements executed directly between Brian Rayl, LLC and the retaining attorney or law firm.
2. DISCLAIMERS: NO LEGAL, MEDICAL, OR NURSING ADVICE
- Educational & Informational Purposes Only: All content, presentations, videos, checklists, slides, and companion materials provided on or through this Website are designed exclusively for educational, informational, and professional development purposes.
- No Legal Advice: Brian Rayl, LLC and its presenters are not a law firm and do not provide legal advice, legal strategy, or representation. Nothing presented constitutes legal counsel or creates an attorney-client relationship.
- No Medical or Nursing Care: Nothing on this Website or in our courses establishes a nurse-patient or healthcare provider-patient relationship. Content must not be construed as clinical diagnoses, individualized treatment advice, or patient care directives.
- Independent Professional Judgment: Legal professionals viewing our materials are solely responsible for exercising their own independent legal judgment and verifying all applicable statutory authorities, court rules, ethical opinions, and clinical facts before applying any concepts to active litigation.
3. PROHIBITION ON SUBMITTING CASE FILES OR PHI
You agree that you will not upload, paste, or submit confidential medical records, case files, litigation discovery, or client Protected Health Information (“PHI”) into any web form on this Website.
Forms on this Website are strictly for general business, administrative, and educational inquiries. Any transmission of confidential case documents or PHI must occur exclusively through our designated, encrypted litigation channels established under an executed consulting engagement.
4. CLE COURSES, ACCREDITATION & CERTIFICATES
- State Bar Approval: Where indicated, courses are submitted for accreditation approval to the State Bar of Texas. We do not guarantee retroactive or multi-jurisdictional accreditation outside of explicitly stated approvals.
- Mandatory Attendance & Viewing Requirements: To qualify for an official Certificate of Attendance or reporting to the State Bar, you must satisfy all mandatory instructional time requirements (e.g., viewing the complete course presentation). We utilize video analytics and telemetry to confirm viewing completion. Completion certificates will not be issued to individuals who fail to complete the full instructional time.
- One Certificate Per Purchase/Registration: Each registration and purchase entitles a single individual to one (1) official Certificate of Attendance upon verified completion.
- Compliance Responsibility: You are solely responsible for accurately providing your State Bar number, confirming course eligibility for your specific compliance period, and maintaining records of your attendance. We are not liable if an accrediting body rejects late filings, audits an individual record, or denies credit due to attendee non-compliance.
5. PURCHASES, ACCESS & NO-REFUND POLICY
- Delivery of Course Access: Upon purchasing access to an on-demand CLE or digital educational product, access is granted via direct web page redirect and/or an access link delivered to the email address provided at checkout.
- All Sales Final (Strict No-Refund Policy): Due to the immediate digital delivery of educational video access, course outlines, and professional materials, all sales are final. We do not issue refunds, credits, or exchanges under any circumstances once access is provided, including if:
- You fail or choose not to watch or complete the course;
- You do not qualify for a certificate due to partial viewing;
- You purchase the same course multiple times during your same compliance term;
- You already satisfied your mandatory CLE compliance requirements elsewhere; or
- Your licensing authority fails to grant you credit due to your individual reporting status.
- Course Access Period: Unless otherwise specified at checkout, course purchasers are granted ongoing access to view the video presentation. However, course availability remains subject to ongoing technical feasibility and the course’s formal State Bar accreditation expiration window.
6. INTELLECTUAL PROPERTY & LIMITED LICENSE
- Ownership: All presentations, videos, slide decks, outlines, written materials, graphics, branding, and Website content are the exclusive intellectual property of Brian Rayl, LLC or its licensors and are protected by United States and international copyright, trademark, and intellectual property laws.
- Limited Personal License: When you purchase or access a course or download materials from this Website, we grant you a personal, single-user, non-exclusive, non-transferable, revocable license to view and review the materials solely for your own individual professional education.
- Prohibited Uses: You may not:
- Share, distribute, stream, broadcast, or display course videos or links across a firm-wide intranet, group portal, or unauthorized third parties;
- Sell, resell, license, rent, or commercially exploit any course materials or video links;
- Copy, modify, reverse engineer, or create derivative works of our presentation slides, cheat sheets, or outlines; or
- Claim completion credit or request a certificate on behalf of an unregistered third party.
7. USER CONDUCT & PROHIBITED ACTIVITIES
You agree not to use the Website or its services to:
- Submit false, deceptive, or misleading information (including fraudulent Bar numbers);
- Interfere with, bypass, or circumvent any security measures, video playback controls, or access restrictions;
- Use automated scrapers, bots, or harvesting tools to extract data or video streams; or
- Introduce viruses, malware, or malicious code to the Website or our service providers.
We reserve the right to immediately terminate course access and deny certificate issuance to any individual who violates these rules, without refund.
8. DISCLAIMER OF WARRANTIES
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THIS WEBSITE, ITS CONTENT, AND ALL COURSES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE WEBSITE, VIDEOS, OR DELIVERABLES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
9. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL BRIAN RAYL, LLC, ITS MEMBERS, MANAGERS, EMPLOYEES, OR PRESENTERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, OR LOSS OF BUSINESS STANDING) ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE WEBSITE, COURSES, MATERIALS, OR ACCREDITATION REPORTING.
IN ALL CIRCUMSTANCES, OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS, THE WEBSITE, OR ANY PURCHASE SHALL BE STRICTLY LIMITED TO THE ACTUAL AMOUNT PAID BY YOU TO BRIAN RAYL, LLC FOR THE SPECIFIC COURSE OR TRANSACTION GIVING RISE TO THE CLAIM IN THE PRECEDING TWELVE (12) MONTHS.
10. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless Brian Rayl, LLC, its members, managers, employees, and agents from and against any claims, liabilities, damages, judgments, losses, costs, and expenses (including reasonable attorney fees) arising out of or related to:
- Your violation of these Terms;
- Your submission of unauthorized materials (including any submission of PHI through web forms);
- Your unauthorized sharing, copying, or public distribution of course materials or video links; or
- Your violation of any third-party rights or applicable laws.
11. DISPUTE RESOLUTION, VENUE & CLASS ACTION WAIVER
- Governing Law: These Terms and any dispute arising out of or related to them shall be governed by and construed in accordance with the laws of the State of Texas, without regard to conflict of law principles.
- Exclusive Venue: Any legal action, suit, or proceeding arising out of or related to these Terms or your use of the Website shall be instituted exclusively in the state or federal courts located in Collin County, Texas. You irrevocably consent to the personal jurisdiction and venue of such courts.
- Class Action Waiver: YOU AND BRIAN RAYL, LLC AGREE THAT ANY PROCEEDINGS TO RESOLVE OR LITIGATE ANY DISPUTE WILL BE CONDUCTED SOLELY ON AN INDIVIDUAL BASIS. NEITHER YOU NOR BRIAN RAYL, LLC WILL SEEK TO HAVE ANY DISPUTE HEARD AS A CLASS ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR IN ANY OTHER PROCEEDING IN WHICH EITHER PARTY ACTS OR PROPOSES TO ACT IN A REPRESENTATIVE CAPACITY.
12. SEVERABILITY & WAIVER
If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent permissible or modified to the minimum extent necessary to make it valid, and the remaining provisions of these Terms shall remain in full force and effect.
Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or future enforcement.
13. TERMINATION & MODIFICATIONS
We reserve the right, at our sole discretion, to modify, update, or replace these Terms at any time. Any changes will be posted on this page with an updated "Last Updated" date. Your continued access to or use of the Website after such revisions constitutes your acceptance of the updated Terms.
